Confidentiality and Non-Disclosure Agreement

Disclosing party: MJR Industries LLC (Michael James Readdy), Michigan

This agreement is between MJR Industries LLC ("MJR") and the person signing below, and, if a company is named, that company (together, "you"). By signing you agree to the following, and MJR agrees to keep your name and contact details private and use them only for this project.

1. Confidential information. Everything shown to you after you sign, including videos, images, designs, names, plans and any related details about AllLive Branch™, is confidential information that belongs to MJR. It does not include information that is already public through no fault of yours, that you already lawfully had, or that you lawfully receive from someone else without a duty of confidentiality.
2. Limited use. You will use the confidential information only to evaluate a possible business relationship with MJR, and for no other purpose.
3. No copying or sharing. You will not copy, download, screenshot, screen-record, film, photograph or otherwise record the confidential information, and you will not share, publish or describe it to anyone else without MJR's prior written permission.
4. No reverse engineering. You will not reverse-engineer, recreate, build, file for protection on, or help anyone else develop anything based on the confidential information.
5. No license or rights. Nothing in this agreement gives you any license, ownership or other right in the confidential information, or in any patent, trademark or other intellectual property of MJR. Neither party is obligated to do any deal.
6. Return or deletion. On MJR's request, you will delete or return any confidential information you have.
7. Term. Your obligations last three (3) years from the date you sign.
8. Remedies. Unauthorized use or disclosure may cause MJR irreparable harm, and MJR may seek an injunction in addition to any other remedy.
9. Governing law. This agreement is governed by the laws of the State of Michigan.
10. Electronic signature. Typing your full name below and checking the agreement box is your electronic signature and has the same effect as a handwritten signature. The date is recorded automatically.
